Terms of Service
Last updated: October 23, 2026
These terms govern your use of lumidesk.io (the “site”), the LumiDesk waitlist, and the founding offer. They are an agreement between you and LumiDesk LLC (“LumiDesk”, “we”, “us”). By using the site or joining the waitlist, you agree to them.
A subscription to the LumiDesk product is governed by a separate Subscription Agreement, which you accept when you subscribe. Nothing in these terms is an offer to sell a subscription.
1. Who the site is for
LumiDesk is software for businesses, specifically physical therapy clinics and the professionals who run them. You must be at least 18 to use the site or join the waitlist. If you join on behalf of a clinic, you confirm you are allowed to do so.
2. LumiDesk is not yet available
LumiDesk launches soon. Until then:
- The site describes LumiDesk as it will be when it becomes available to subscribe. Descriptions, screenshots, and prices are provided in good faith, but they are not a promise that any particular feature, price, or date will be offered, except for the founding offer in section 4.
- We don’t give a launch date, and none should be inferred.
- “Launch” in these terms means the day LumiDesk subscriptions first become available to the public to buy. We will announce it on the site and by email to the waitlist.
3. The waitlist
Joining the waitlist is free and commits you to nothing. You don’t have to subscribe, and you can leave at any time by unsubscribing.
When you join, you agree to receive emails about LumiDesk’s launch and product updates. Our Privacy Policy explains what we collect and how we use it.
Please give us accurate information. We may remove signups that are fake, automated, or abusive. We may close the waitlist to new signups at any time; closing it does not affect founding-clinic status anyone has already earned under section 4.
4. The founding offer
4.1 Founding clinics
A clinic becomes a founding clinic when both of these are true:
- someone from the clinic joined the waitlist before launch; and
- the clinic starts a paid LumiDesk subscription within 60 days after launch, or earlier through an early invite.
The date recorded in our waitlist system when an email address joined is the record of when it joined. To claim founding status, subscribe using the email address that joined the waitlist, or tell us that address when you subscribe so we can match it to your clinic.
Anyone who joins the waitlist before launch can become a founding clinic. The optional questions on the waitlist form never affect eligibility.
4.2 The price lock
A founding clinic keeps the published launch price of the plan it subscribes to, for every seat, including seats it adds later, for as long as its subscription stays unbroken.
- The published launch price is the per-seat price shown on the site at launch for that plan, for each billing interval (monthly or annual).
- The price lock is for the plan you subscribe to. It does not set the price of any other LumiDesk plan.
- The price lock is the published price, not a discount from it. It has no cash value.
- Taxes are not included and are charged as they apply.
What does not break the price lock:
- switching between monthly and annual billing (the launch price for the new interval applies);
- adding or removing seats, as long as at least one seat remains;
- a failed payment that is fixed within the grace period in the Subscription Agreement;
- a change in who owns the clinic, as long as the same LumiDesk account continues.
What ends the price lock:
- cancelling the subscription, once the cancellation takes effect;
- reducing the subscription to zero seats;
- termination of the subscription for nonpayment after the grace period, or for breach of the Subscription Agreement.
Once the price lock ends, it cannot be restored, and a new subscription is at the published price at that time.
The price lock belongs to the clinic’s LumiDesk account. It cannot be transferred to a different account or combined across accounts.
4.3 Early invites
Founding clinics may be invited to subscribe before the public switch-on. Help moving data over from a clinic’s current software (a patient import, a switching guide, and our usual support) is the same for every clinic; founding clinics get it earlier. An early invite is an invitation to subscribe to LumiDesk as it is at that time. It does not include access to unreleased or unfinished features.
4.4 Changes to the founding offer
If we change the founding offer, the change will not apply to anyone who joined the waitlist before the change is posted, unless it is more favorable to them.
5. Information on the site
We work to keep the site accurate, including our comparisons with other software. Comparison pages rely only on each competitor’s own published materials, show when each claim was last verified, and may become out of date as those companies change their products and prices. They are for information, not advice. Check with the vendor before relying on any detail.
If you think something on the site is wrong, email corrections@lumidesk.io. We review every report and publish corrections.
Product and company names on the site belong to their owners. Their use does not imply any affiliation with or endorsement by them.
6. Using the site
You agree not to:
- use the site for anything unlawful;
- interfere with the site or its security, or try to access anything not intended for you;
- submit false, automated, or abusive signups or messages;
- scrape or copy the site in bulk, or use it to build a competing product.
7. Our content
The site, including its text, design, logos, and the LumiDesk name, belongs to LumiDesk or our licensors. You may view and share pages for your own purposes, but you may not reuse our content or branding without permission.
If you send us feedback or suggestions, we may use them without owing you anything.
8. Links to other sites
The site links to other websites, including competitors’ pages cited as sources. We don’t control those sites and are not responsible for their content or practices.
9. Disclaimers
The site and the waitlist are provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties about them, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Nothing on the site is legal, medical, compliance, or financial advice.
10. Limitation of liability
To the fullest extent the law allows, LumiDesk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from the site or the waitlist. Our total liability for any claim relating to the site or the waitlist is limited to one hundred US dollars ($100).
This section does not limit liability that cannot be limited by law, and it does not apply to the founding offer’s price lock, which we will honor as written.
11. Governing law and disputes
These terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules. Any dispute relating to these terms, the site, or the waitlist will be resolved in the state or federal courts located in South Carolina, and you and we consent to their jurisdiction.
Before bringing a claim, please email hello@lumidesk.io so we can try to resolve it informally.
12. Changes to these terms
We may update these terms. When we do, we will change the “Last updated” date at the top. Changes apply from the date they are posted, except that changes to the founding offer follow section 4.4.
13. General
If any part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. These terms, together with the Privacy Policy, are the whole agreement between you and us about the site and the waitlist.
